These Terms of Service ("Terms") govern your use of caidance.ai and all related services provided by Caidance ("we," "us," or "our"). By creating an account or using our services, you agree to these Terms.

1. Services Overview

Caidance provides AI-era discovery readiness assessments, prioritized fix toolkits, and ongoing performance monitoring for small and medium businesses. Our services include:

  • Free Assessment: Industry-specific questionnaire with your Caidance Discovery Index (CDI) and top 3 priority fixes
  • Toolkit ($79 one-time): All 10 prioritized fixes with step-by-step guidance, checklists, and progress tracking
  • Caidance Pilot — Monitoring + Advisor ($9.95/month): Weekly health checks, AI-powered recommendations, CDI trend tracking, and email reports, plus full toolkit content (all 10 fixes and the AI playbooks) while your subscription is active

2. Account Registration

You must create an account to access paid features. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate and complete information when creating your account.

3. Payments and Billing

Toolkit: The toolkit is a one-time payment of $79 processed through Stripe. Once purchased, you have permanent access to your industry toolkit and progress tracking features.

Monitoring: Monitoring (sold as the Caidance Pilot) is a recurring subscription at $9.95/month, billed through Stripe. Your subscription will automatically renew each month until canceled.

Cancellation: You may cancel your monitoring subscription at any time through Stripe's customer portal or by contacting us. Cancellation takes effect at the end of your current billing period. No partial refunds are provided for unused portions of a billing period.

Price Changes: We reserve the right to change our pricing. Any price changes will be communicated in advance and will not affect your current billing period.

4. Refund Policy

Toolkit: If you are unsatisfied with your toolkit purchase, contact us within 14 days of purchase at [email protected] for a full refund.

Monitoring: You may cancel at any time. No refunds are provided for partial months. If you experience a service issue, contact us and we will work to resolve it or provide a credit.

5. Acceptable Use

You agree not to:

  • Use the service for any illegal purpose
  • Share your account credentials with others
  • Attempt to reverse-engineer, decompile, or extract our proprietary content
  • Use automated tools to scrape or bulk-access the service
  • Interfere with the service's operation or other users' access

6. Intellectual Property

All content, including assessment frameworks, fix libraries, scoring algorithms, and AI-generated recommendations, is the intellectual property of Caidance. Your purchase grants you a personal, non-transferable license to use the toolkit content for your own business operations. You may not redistribute, resell, or republish our content.

7. AI-Powered Features

Our service includes AI-powered recommendations and chat features powered by the Anthropic Claude API. AI-generated content is provided as guidance only and should not be considered professional advice. We do not guarantee the accuracy, completeness, or suitability of AI-generated recommendations for your specific situation.

8. Health Checks and Monitoring

Monitoring health checks (uptime, SSL, page speed, SEO, form reachability) are performed against the website URL you provide. Health checks are informational and not a substitute for professional IT monitoring or security services. We are not responsible for issues detected or missed by our health checks.

9. Limitation of Liability

Caidance provides operational guidance tools. We are not a consulting firm, and our tools do not constitute professional business, legal, financial, or technical advice. To the maximum extent permitted by law, Caidance shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services.

10. Service Availability

We strive for high availability but do not guarantee uninterrupted service. We may perform maintenance, updates, or modifications that temporarily affect availability. We will make reasonable efforts to notify you of planned downtime.

11. Termination

We reserve the right to suspend or terminate your account if you violate these Terms. You may close your account at any time by contacting us. Upon termination, your access to paid features will end, but we will retain your data for a reasonable period to allow for account reactivation or data export requests.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or a notice on our website. Your continued use of the service after changes are posted constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law provisions.
